Nodwin Gaming Private Limited, a significant subsidiary of Nazara Technologies Limited, announced on Friday that Nodwin Gaming International Private Limited, its Singapore-based subsidiary, had inked final agreements to raise its current 13.51 percent stake to 100 percent in tranches through a share swap valued at up to Rs 271 crore (Euro 30.3 million). Freaks 4U Gaming GmbH is a global full-service gaming and esports agency based in Berlin.
The founders Michael Haenisch, Matthias Remmert, and Jens Enders own 43% of Freaks 4U Gaming; Nodwin Pte will initially expand its current position to 57% of the company, with the remaining 43% to be swapped at a later date at its discretion. Current Freaks 4U Gaming investors, including Co-investor FRE and Game Fin S.R.L., will acquire stock of Nodwin Pte.

Freaks 4U Gaming produced Rs 223 Crore (Euro 26.9 million, unaudited) in 2023 and provides a wide range of agency services and solutions to brands and publishers. Through this acquisition, Nodwin Gaming will get access to the knowledge, connections, and experience of the Freaks 4U Gaming team, which will greatly expand its possibilities. It is anticipated to make a significant future contribution to Nodwin's revenue as well.

Nodwin has been collaborating with the management of Freaks 4U Gaming on the merging of the two companies and assessing the synergies they provide since acquiring a minority share in the latter in January 2024. Together, the two teams have previously completed high-profile projects like the Esports World Cup (EWC) and the PUBG Mobile Global Open. They have also looked at potential new business verticals. Nodwin Gaming and Freaks 4U Gaming have chosen to move forward with this deal based on the results of this exercise and early traction on possible synergies.
This action will improve Nodwin Gaming's accessibility to established markets. Additionally, it would improve planning and execution skills for PC gaming and publishing support services. It would enable the construction of an international delivery model and enhance Nodwin Gaming's excellent execution skills in growing countries.
