NODWIN Gaming, which is funded by Nazara Technologies, has purchased a gaming agency called Trinity Gaming for Rs 24 crore which is about USD 2.8 million. Trinity Gaming will become a fully owned subsidiary of NODWIN Gaming as a result of this transaction, which marks a significant milestone in the company's expansion of its reach and capabilities in the Indian gaming and content ecosystem.
Trinity's 100% share capital would be acquired through a secondary sale and stock swap of NODWIN Gaming shares, for a total consideration of up to Rs 24 crore. The price would be paid in cash up to Rs 4.8 crore, with the remaining Rs 19.2 crore coming from the swap of Nodwin Gaming stock shares. As part of this deal, the founders would become NODWIN Gaming shareholders and will continue to oversee the company in the future.
Trinity Gaming, formed in 2019 by Abhishek Aggarwal and Shivam Rao, wants to support India's gaming influencer ecosystem. The platform is a Meta Creator Service Provider (CSP) and India's only YouTube Gaming MCN (Multi-channel Network), managing over 1,000 creators from throughout the country and partnering with global companies including Samsung, Realme, iQOO, and Krafton.
NODWIN Gaming said Trinity's expertise in content production, digital marketing, and agency activations makes it a useful addition to its portfolio, improving its ability to form meaningful collaborations with gaming developers and brands.
NODWIN Gaming will expand Trinity's portfolio to other emerging regions including Africa, Southeast Asia, Central Asia, and the Middle East through its existing businesses and verticals. NODWIN will also integrate its Unpaused Talent business with Trinity, and Trinity's creators will head it.
